Pitch Please End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you and GDK Digital LLC for the Pitch Please mobile application, including its software, updates, and accompanying materials (the "App"). The App is licensed, not sold.

By downloading, installing, or using the App, you accept this EULA. If you do not accept it, do not download, install, or use the App.

This EULA works together with the Pitch Please Terms of Service and Privacy Policy. If a direct conflict arises specifically on a software-licensing matter, this EULA controls for that matter.

1. License Grant

Subject to your compliance with this EULA, the Terms of Service, and the rules of the app store from which you obtained the App, GDK Digital grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on a device that you own or control, solely for your own lawful use of the App's measurement and related features.

If you obtained the App from the Apple App Store, this license is further limited to use on Apple-branded devices that you own or control, as permitted by the Apple Media Services / App Store Terms. This includes access and use by other accounts associated with you through Apple Family Sharing or volume purchasing, to the extent permitted by Apple's Usage Rules and the App Store distribution model. If you obtained the App from Google Play, your use is also subject to the Google Play Terms of Service.

2. License Restrictions

Except to the limited extent applicable law expressly permits despite this restriction, you will not, and will not permit anyone else to:

• Copy the App except as necessary for normal installation and use, or as expressly permitted by app-store Usage Rules.
• Sell, rent, lease, lend, sublicense, distribute, or otherwise transfer the App or your license to any third party.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App except where applicable law permits this despite the restriction.
• Modify, adapt, translate, or create derivative works of the App.
• Remove, alter, or obscure copyright, trademark, or proprietary notices.
• Use the App to develop a competing product or copy any feature, function, or interface.
• Circumvent, disable, or interfere with any security, licensing, or technical-protection feature.
• Use the App in violation of law, third-party rights, this EULA, or the Terms of Service.

3. Intended Use and Critical Limitations

The App estimates roof pitch using device sensors and an optional camera alignment view. It is an estimation and assistance tool only.

• Readings are estimates and are not certified, professional, guaranteed, or authoritative measurements.
• Accuracy depends on device hardware, calibration, positioning, and environmental conditions.
• The App is not a substitute for a professional inspection, survey, engineering assessment, or calibrated instrument.
• You must independently verify any reading before relying on it for cost, safety, contracts, permits, code compliance, insurance, structural work, material ordering, or anyone's wellbeing.
• You will not rely on the App as the sole basis for any safety-critical, structural, legal, financial, regulatory, or professional decision.

The detailed disclaimers and safety obligations in the Terms of Service are incorporated into this EULA by reference.

4. Ownership and Intellectual Property

The App is licensed, not sold. GDK Digital and its licensors retain all right, title, and interest in and to the App, including software, designs, user interfaces, logos, brand assets, and intellectual property rights. This EULA does not transfer ownership to you. Photos and screenshots you create with the App belong to you. GDK Digital claims no ownership of, and does not access, your captured content.

5. Permissions and Privacy

The App requests only the permissions needed to function: camera for alignment view and photo capture; device motion sensors for pitch calculation; add/save-only access to save photos you choose to capture. If enabled, the App may use your device's haptic or vibration feature to confirm actions such as saving, mode switching, or calibration, and may temporarily keep the display awake while Direct Mode is open. The App does not record audio, read your existing photos, or request location, contacts, or microphone access.

The App does not collect, transmit, sell, or share your personal data, and contains no analytics, advertising, or tracking SDKs. Your settings and calibration offset are stored locally on your device and removed when you uninstall the App. See the Privacy Policy for details.

6. Updates, Components, and Termination

GDK Digital may, but is not obligated to, provide updates, bug fixes, or new versions through the applicable app store. Updates are part of the App and are governed by this EULA unless accompanied by a separate license.

The App may include third-party open-source or licensed software components. App-specific notices are available at Third-Party Notices.

This EULA is effective until terminated. Your license terminates automatically if you breach this EULA. You may terminate at any time by uninstalling the App and destroying copies in your control. Termination does not entitle you to a refund except as provided by applicable app-store policies or law.

7. Warranty Disclaimer and Limitation of Liability

To the fullest extent permitted by applicable law, the App is provided "as is" and "as available," without warranty of any kind, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. GDK Digital does not warrant that readings are accurate or fit for any purpose, or that the App will be uninterrupted or error-free. You use the App and rely on its output at your own risk.

To the fullest extent permitted by applicable law, GDK Digital and its owners, personnel, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business, arising from or relating to the App or your reliance on any reading. GDK Digital is not liable for damage, cost, rework, injury, or loss resulting from an inaccurate or misused reading or any decision made based on the App. GDK Digital's total aggregate liability under this EULA will not exceed the greater of the amount you paid for the App in the twelve months before the claim or USD $100.00.

Nothing in this EULA limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, fraud, or mandatory consumer-protection rights.

8. Export, Government End Users, and App Store Terms

You represent that you will comply with applicable export-control and sanctions laws, that you are not located in a U.S. Government embargoed or "terrorist supporting" country, and that you are not on a U.S. Government prohibited or restricted parties list.

The App is a commercial item consisting of commercial computer software and commercial computer software documentation. U.S. Government use, duplication, or disclosure is subject to the restrictions in this EULA, consistent with FAR 12.212 and DFARS 227.7202.

If you obtained the App from Apple, this EULA is between you and GDK Digital only, not Apple. Apple has no maintenance or support obligation, no warranty obligation beyond any App Store refund process, and is a third-party beneficiary of this EULA. If you obtained the App from Google Play, Google is not a party to this EULA and is not responsible for the App.

9. Governing Law and General Terms

This EULA is governed by the laws of the State of Michigan, United States, without regard to conflict-of-laws rules, except where mandatory law of your country or state of residence provides otherwise. Dispute-resolution and venue provisions in the Terms of Service apply equally to this EULA.

This EULA, with the Terms of Service and Privacy Policy, is the entire agreement between you and GDK Digital regarding the App's license. If any provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign this EULA; GDK Digital may assign it in connection with a merger, acquisition, or asset sale. GDK Digital may update this EULA with reasonable in-app notice for material changes.
